Part of a package of three bills to implement the next phase of the Corporations Law Economic Reform Program, the bill amends the
Corporations Act 2001
to simplify document lodgment and procedures for companies; remove the upper age limit for directors of public companies; and remove charges over uncertificated securities from the application of the charges provisions; and Australian Securities and Investments Commission Act 2001
to increase the financial cap before Ministerial approval is required for the Australian Securities and Investments Commission to enter into contracts; and enable an alternate person to attend meetings of the Corporations and Markets Advisory Committee in place of the Chairperson. Also contains transitional provisions.

to: set a national regulatory regime for margin loans; require that promissory notes valued at $50,000 or over are subject to the same regulatory regime as debentures; require the establishment of a public register of debenture trustees; and provide that Australian Capital Territory courts have jurisdiction for certain offences; and Australian Securities and Investments Commission Act 2001
and Corporations Act 2001
to transfer the regulation of trustee companies from the states and territories to the Commonwealth.

to: provide that a general meeting of a company must only be arranged if members with at least five per cent of voting shares make the request; reduce the remuneration reporting requirements; clarify the circumstances in which a financial year may be determined to be less than 12 months; and exempt certain companies limited by guarantee from the need to appoint or retain an auditor; and Australian Securities and Investments Commission Act 2001
to: enable members of the Takeovers Panel to perform duties while in Australia and overseas; and provide that the Remuneration Tribunal is responsible for setting the terms and conditions of Chairs and members of the Financial Reporting Council, the Australian Accounting Standards Board and the Auditing and Assurance Standards Board.

Amends the:
Corporations Act 2001
to: enable directors of a listed company or listed registered scheme to extend the auditor rotation period for up to two years in certain circumstances; and require auditors who audit 10 or more certain types of entities to publish a transparency report; and Australian Securities and Investments Commission Act 2001
to: revise the functions of the Financial Reporting Council (FRC) to require the FRC to provide the minister and professional accounting bodies with strategic policy advice and reports in relation to the quality of audits conducted by Australian auditors; enable the Australian Securities and Investments Commission (ASIC) to publish an audit deficiency report in relation to specified audit failures by an Australian auditor identified by ASIC; and enable ASIC to communicate certain information obtained during an audit directly with an audited body.

Bills and committees
The House of Representatives Selection Committee and the Senate Selection of Bills Committee routinely consider whether bills should be referred to committees for inquiry and report. The House Committee reports its determinations to the chamber, while the Senate Committee makes recommendations which the Senate may then adopt. Bills may also be referred to committees by either chamber or by the relevant minister to House and joint committees.
